1.Definitions
In these Terms, the following words have the following meanings:
- “We”, “us” or “our” means Liverpool Podcast Studios, of 67 Greenland Street, Liverpool L1 0BY.
- “You” or “Client” means the person or organisation making the booking.
- “Primary Contact” means the named individual on the booking. The Client may appoint additional or alternative contacts by giving us written notice.
- “Session” means a booked period of studio time, including any agreed setup and refreshment time. References to “Session” include both Podcast Production Sessions and Studio Recording Sessions unless the context indicates otherwise.
- “Working Day” means any day other than a Saturday, Sunday or public holiday in England and Wales.
- “Deliverables” means the final files we produce and supply to you in connection with a Session.
2.Your Session
- If your Session runs over its booked end time by more than 15 minutes, you will be charged for the additional time in 30-minute increments at our standard rate.
3.Podcast Production Sessions
- Our standard podcast post-production for a Podcast Production Session includes:
- Multi-camera switching for dynamic visual content;
- Colour correction and white balance for visual consistency;
- Editing to remove a reasonable number of re-takes, pauses or interruptions that naturally occur during a typical podcast recording;
- Basic audio cleanup to remove a reasonable number of unwanted sounds such as coughs, sniffles or background noise;
- Professional audio mixing, including compression, equalisation, noise removal, de-essing and limiting;
- Professional audio mastering to industry loudness standards; and
- Integration of brand assets you supply, such as intros, outros, advertisements, logos and music.
- Each Podcast Production Session includes up to 20 individual Deliverables. Additional Deliverables will be charged at £30 per 10 Deliverables (or part thereof), reflecting the additional editing, export, quality control and delivery time required.
- Our standard post-production is designed for podcast-style recordings, typically involving continuous conversation, interviews or storytelling with minimal re-takes or scripted content. If your recording requires editing significantly beyond this scope (for example, frequent re-takes, scripted line-by-line reads, or YouTube-style structured video production), we may classify the work as video production and charge additional fees. We will discuss this with you and agree any additional charges in writing before proceeding.
4.Studio Recording Sessions
- A Studio Recording Session is designed for Clients who plan to edit their content themselves. We handle the technical work of capturing, syncing, colour-grading and audio mixing, so you receive content that is ready to drop into your own edit.
- For a Studio Recording Session, we will deliver to you:
- Synchronised video footage covering all camera angles;
- Colour-graded video; and
- Mixed audio stems.
- Deliverables for a Studio Recording Session are supplied in the length recorded. We do not split footage into individual clips or segments. Video is delivered in HEVC format and audio as .WAV, unless otherwise agreed in writing.
- Editorial changes (such as cuts, re-arrangement of content, or removal of sections) fall outside the scope of a Studio Recording Session. Revisions are limited to technical adjustments to the colour grade or audio mix — see clause 6.
5.Delivery
- Our standard turnaround is 5 Working Days from the date of recording, for both Podcast Production Sessions and Studio Recording Sessions.
- If you require expedited delivery for a Podcast Production Session, we offer an express service for an additional 25% of the Session fee. This must be agreed in writing before the Session.
- For data security and confidentiality, we deliver Deliverables only to the Primary Contact, or to any additional contacts the Primary Contact has appointed in writing.
6.Content Revisions
- We offer a 14-day revision period from the date you receive your final Deliverables, within which you may request a maximum of 2 rounds of revisions.
- Revision requests received after the 14-day window will only be possible if the underlying data is still accessible (see clause 7 on data retention). Where we are able to carry out late revisions, a late revision fee of £30 per affected Deliverable may apply.
- For a Podcast Production Session, a revision is a minor edit or adjustment that could reasonably have been addressed during recording or the initial edit, such as trimming sections, adjusting sound, or making minor visual changes. For a Studio Recording Session, revisions are limited to technical adjustments to the colour grade or audio mix; editorial revisions are not available.
- Revision requests that significantly alter the original scope of the project, or that are excessive in number, may attract additional editing fees. We will discuss this with you and agree any additional charges in writing before proceeding.
- Revision requests must be submitted in writing and must include specific timestamps or otherwise clearly identify the changes required. Voice notes are acceptable provided they are followed up in writing. General or vague requests (for example, “remove all umms”) will not be actioned without further clarification.
- We aim to complete revisions within 3 Working Days of receiving a clear, written request. If the request is unclear or incomplete, the 3 Working Day period will start once the necessary information has been provided.
7.Data Retention
- We retain Session files, recordings and Deliverables for 14 calendar days from the date of recording. After this period, files may be permanently deleted.
- You are responsible for downloading and keeping copies of your Deliverables within the retention period.
- We will handle your data in accordance with applicable data protection laws and our Privacy Policy. We are not liable for any loss of files deleted after the retention period has expired.
8.Cancellations and Rescheduling by You
- Cancellation or rescheduling with at least 5 Working Days’ notice: full refund or full reallocation.
- Cancellation or rescheduling with less than 5 Working Days’ notice but more than 1 Working Day’s notice: 25% of the Session fee will be charged.
- Cancellation or rescheduling with 1 Working Day’s notice or less: 50% of the Session fee will be charged.
- No-show. Failure to attend a Session without prior notice will be treated as a no-show. The Session fee is non-refundable in these circumstances.
- All cancellation or rescheduling requests must be sent in writing to bookings@liverpoolpodcaststudios.com.
9.Cancellations by Us
- We may need to cancel or reschedule a Session in exceptional circumstances, including (but not limited to) equipment failure, illness, urgent unforeseen maintenance, or events beyond our reasonable control (see clause 11). If this happens, we will let you know as soon as reasonably possible.
- Where we cancel a Session, we will offer you, at your choice, either a full refund of the Session fee or a reallocation to a mutually convenient alternative date.
- Our liability for any cancellation by us is limited as set out in clause 10.
10.Limitation of Liability
- Nothing in these Terms limits or excludes our liability for personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot lawfully be excluded or limited.
- Subject to clause 10.1, we will not be liable to you, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, for any:
- loss of profit;
- loss of business, business opportunity, contracts or anticipated savings;
- loss of goodwill or reputation; or
- indirect, special or consequential loss,
- Subject to clauses 10.1 and 10.2, our total liability to you in connection with any claim arising out of or in connection with a Session or its Deliverables will not exceed the fees actually paid by you for the specific Session, project or monthly retainer period giving rise to the claim.
11.Events Beyond Our Control
- We will not be in breach of these Terms, nor liable for any delay or failure to perform, if that delay or failure results from an event beyond our reasonable control. This includes (but is not limited to) fire, flood, power failure, internet or network outage, equipment failure, illness, industrial action, civil unrest, pandemic, government restriction, or urgent unforeseen maintenance.
- If such an event occurs, we will let you know as soon as reasonably possible and offer to reschedule the affected Session or, if that is not practical, refund the affected Session fee. The remedies in this clause apply alongside clause 9.
12.Promotional Use, Recording Consent and Guests
- You grant us a non-exclusive, royalty-free licence to use excerpts of content produced for you (including images, audio and video clips) for our own marketing and portfolio purposes, such as showcasing our work on our website and social channels. No further payment will be due to you for this use.
- During Sessions, we may take behind-the-scenes photographs or video for use in our marketing.
- You may withdraw your consent to the promotional use described in clauses 12.1 and 12.2 at any time by writing to bookings@liverpoolpodcaststudios.com. On receipt of your notice, we will stop using your content in any new promotional material. Content already published or printed before we receive your notice may remain in circulation.
- You are responsible for ensuring that all guests appearing in your recording have agreed to: (a) being recorded; (b) the use of the recording for your own purposes; and (c) the limited promotional use described in clause 12.1.
13.Licensing and Rights
- Once you have paid for your Session in full, you own the rights to the final Deliverables produced for you, subject to clause 12.1 and to any third-party rights in materials you have supplied.
- You are solely responsible for obtaining all necessary rights, licences and permissions for any third-party content you supply or ask us to include in your Deliverables (including images, video, music and brand assets).
- You warrant that any content you supply will not infringe the rights of any third party, and you will indemnify us against any claim, loss or expense we suffer as a result of any such infringement.
14.Personal Belongings
- We are not responsible for any vehicles or personal belongings brought to or left on the premises. You should take appropriate steps to secure your own property.
15.Complaints
- If you are unhappy with any aspect of our service, please let us know as soon as possible by writing to bookings@liverpoolpodcaststudios.com. We will acknowledge your complaint within 3 Working Days and aim to provide a substantive response within 10 Working Days.
16.Changes to These Terms
- We may update these Terms from time to time. We will give existing clients at least 30 days’ written notice of any material change.
17.Monthly Production Retainer Clients
- If you are on a Monthly Production Retainer, you will have signed a separate Retainer Agreement with us. These Terms apply to your Sessions and post-production under that retainer. The Retainer Agreement covers matters specific to the retainer itself (such as the minimum term, monthly fees and notice) and, in respect of those matters, takes precedence over these Terms.
18.General
- Entire agreement. These Terms (together with any Retainer Agreement or written booking confirmation) contain the entire agreement between us in relation to their subject matter.
- Severance. If any part of these Terms is found to be unenforceable, the rest will remain in full force and effect.
- Governing law and jurisdiction. These Terms are governed by the laws of England and Wales. Any dispute arising out of or in connection with these Terms will be subject to the exclusive jurisdiction of the courts of England and Wales.
